Google Founders To Sell 10 Million Shares Giving Up Controlling Interest Over Next Five Years

According to a regulatory filing submitted today the founders of Google Lawrence “Larry” Page and Sergey Brin, plan to sell off 5 million Google shares each over the next five years, which would cause them to surrender majority voting control over the company. At the moment they have about 58% of voting power for the company. After the sales their share will fall to 48%, However CEO Eric Schmidt currently holds shares accounting for almost 10% of Google’s voting power. Therefore together, the 3 of them can still control Google if they are united.

On November 30, 2009, Larry Page and Sergey Brin each adopted stock trading plans in accordance with guidelines specified under Rule 10b5-1 of the Securities and Exchange Act of 1934 and Google’s policies regarding stock transactions. In the future, they will begin selling a portion of their Google stock pursuant to these stock trading plans.

Larry is a Co-Founder of Google and serves as Google’s President, Products and Sergey is also a Co-Founder of Google and serves as its President, Technology.

These pre-arranged stock trading plans were adopted in order to allow Larry and Sergey to sell a portion of their Google stock over time as part of their respective long-term strategies for individual asset diversification and liquidity. The transactions under these plans will be disclosed publicly through Form 4 and Form 144 filings with the Securities and Exchange Commission. Using these plans, they can gradually diversify their investment portfolios and can spread stock trades out over an extended period of time to reduce market impact. Because these plans were established well in advance of a trade, they also help avoid concerns about whether these officers had material, non-public information when they made a decision to sell their stock.

Larry and Sergey currently hold approximately 57.7 million shares of Class B common stock, which represents approximately 18% of Google’s outstanding capital stock and approximately 59% of the voting power of Google’s outstanding capital stock. Under the terms of these Rule 10b5-1 trading plans, and as a part of a five year diversification plan, Larry and Sergey each intend to sell approximately 5 million shares. If Larry and Sergey complete all the planned sales under these Rule 10b5-1 trading plans, they would continue to collectively own approximately 47.7 million shares, which would represent approximately 15% of Google’s outstanding capital stock and approximately 48% of the voting power of Google’s outstanding capital stock (assuming no other sales and conversions of Google capital stock occur).

Based on todays value of Google share which is $550.01 per share , it will cost them about 5.5 Billion dollars having each of them 2.75 Billion dollars. They are only 37 and they are both billionaire. Assuming that the cost per share will still remain at $550, they will still have a remaining 26 Billion Dollars or 47.7 Million Shares of stock.

How to verify blogger blog on Google webmasters central tool

Verifying your blog via Google Webmasters tool is an essential part of your SEO ( Search Engine Optimization ) effort, I have explained it before thru this post { How Important is Google Webmaster Tools } , Better check the post in order for you to understand the importance of being verified with Google.

So for all of you who already knew about verification but have not yet verified your blogspot blog, better check the instruction below and do it now.

How to verify a blogger blog in Webmasters tool.Step-By-Step Instructions:

In Webmaster Tools
1. Click the “Add a site” button on the Webmaster Tools Home page
2. Enter your blog’s URL (for example, googlewebmastercentral.blogspot.com) and click the “Continue” button to go to the Manage verification page
3. Select the “Meta tag” verification method and copy the meta tag provided

In Blogger
4. Go to your blog and sign in
5. From the Blogger dashboard click the “Layout” link for the blog you’re verifying
6. Click the “Edit HTML” link under the “Layout” tab which will allow you to edit the HTML for your blog’s template
7. Paste the meta tag (copied in step 3) immediately after the element within the template HTML and click the “SAVE TEMPLATE” button

In Webmaster Tools
8. On the Manage Verification page, confirm that “Meta tag” is selected as the verification method and click the “Verify” button

Your blog should now be verified. You’re ready to start using Webmaster Tools!

People Spend More Time in Facebook Than Google

More and more people are being hooked up in facebook, the latest survey from Nielsen reveals that peoples stays longer in Facebook compared to other site. See the table below that I got from mashable.com

Facebook recorded a 5 hour 46 minutes spent compared to Google which is 1 hr 53 minutes which is about 3 times larger. This only means that more and more people are being hooked up in different flash games that facebook is offering like Restaurant City, Farm Ville , Farm Town , Mafia Wars etc. where users tends to comeback because of their obligation in their farm and/or the game.
So is it having threat to Google ? Google seems to have forgotten the value of social networking. They forgot that Social Networking would also be a great source of Advertising. No wonder why lots of Netrepreneur is on Facebook.

If there is a Search Engine Optimization , are we going to here about Social Media Optimization ( SMO ) in the near future. Well this is not impossible since more and more people is being engage in Social Networking.

Google Fast Flip Review

Google is really an innovator, I could say that Google is an innovator because of their new feature in Google Labs called Google Fast Flip . It is changing the way we can see the fresh and Updated News in the web. I can say that Google Fast Flip is great tool and Make me feel as if I am reading magazine in the web. In My Humble Opinion I believe that it would be better to use this instead of feed reader . You can check their about page [ About Google Fast Flip ] for further information about this product.

Remember when I told you that you can earn from posting current Events , I think the new Google fast Flip can help you a lot.

This will definitely help me to feed my other site In The Current News ( It is New , In a sense that I am not giving much effort at that blog as of today ), Below is the screen capture of the Google Fast Flip and it is really fast to Flip it.

John Chow dot Com Ban is lifted by Google

Today I just learned that John Chow Dot com Ban is lifted by Google since whenever you will search his name you will be able to see his site and not other site which are just trying to get his traffic, To those of you who are new in the Internet world, John chow had been banned in the Internet Google SERP by Google because of massive link exchange that he is doing in order to top ” Make Money Online ” Keywords, Mr. Chow have manage to survive the net and able to get a higher income in the Internet even with out the help of Google . He still able to become very popular due to a reason that he had made his brand in the net even before Google Banned his site. Although there were time that it was reported last year that his site visitor is deteriorating.

It is Good to know that Google and John Chow is now united again. So what is the lesson that we could learn from this ? I think if we could have a good brand in the net , Google will be forced to put your keywords specially your site name in the net since it will not be good for them if somebody is searching for a very popular name but it is not showing in the SERP.

John Chow is also known in making paid reviews. So if John Chow is telling that his site will now become 100% compliance with Google Webmaster will it mean that he will put Nofollow tags in all his review or Will he block the paid post via robots.txt ? Hmm.. we need to know what will happen since Paid review is one of the source of income by John.

John Chow’s lifted ban will raise lots of question to Big G. So again congratulation to John Chow this will mean more money for him.

Google Chrome OS Announced

I might be late with this one since it goes out in the market about a week ago but anyway it is better late than never

So is this the start of Microsoft Competition when it comes to Operating System ( OS ) , It has been announced that Google is coming out with a new operating system: Google Chrome OS. : a Linux-based operating system designed specifically for getting to the Web and Web apps faster. This is great news for us consumers because of the competition. But the problem is will it be compatible with most of the program that we are using. More consideration needs to be studied by Google.

After Google Chrome Browser now they are focused in Google Chrome OS. They are truly expanding.

Google Search Option Video and My Take

Here is the Google Search Option Video that was provided by Google official blog.

After viewing the video here is my comments and observation :

I believe that this can be done before thru Advance Search option feature of Google, they just made it easy for those non techy guys and gals to use Google. Google just made it easy to slice the results into more specific one.

But I must agree that they made it easier. What I am interested is How can we make the post more optimized thru the search snippet. For sure the All In One SEO Pack plug-in will be updated soon. And I just hope that this will not make a major change the Google Algorithm. You might want to check my suggestion on how to increase Blog ranking .

But anyway thanks to Google for constantly improving the system

It seems that Google is now releasing a new Google search products, and they called Google Square so here are some of the Google Square Screen Shots that I got from blogoscoped.com

The Google Squared homepage, complete with a Labs icon, offers a search box and a “Square it” button. Suggested searches include “roller coasters”, “strollers”, and “hotels in Paris”.

The search result page for the query “small dogs”. According to Google, Chihuahuas weigh 6 lb and belong to the group “toy”.

Google Squared, a Labs project set to debut later this month. It is a Search Options where You can drill down your search results, but Squared lets you add or delete results to produce the most useful “square” of information that you can save to your Google account and refer back to later according to some reviews.

Well I do not really know the importance of this new Search Product called Google Square but I hope it could help us get more specific result in Google.

There is another one called Google Search Options I think this is more interesting and I am still researching about the use of the new Search products that will be launch by Google.
